Syhart Decal and/or Mr. Sylvain Hautier shall not be held liable in the event of force majeure or events beyond their control. Any unforeseeable, irresistible, and insurmountable event or circumstance that renders the performance of the terms and conditions of sale impossible for either party is considered force majeure. By extension, the following circumstances are considered force majeure when they paralyze the performance of the contract: strikes, lockouts, shortages of raw materials, acts of God, insurrection, attacks, war, destruction of production sites, natural disasters, etc.
The sale is then suspended for the entire duration of the force majeure event without any compensation for either party. The processing times for the sale are extended by a period equivalent to the duration of the force majeure event. When the case of force majeure continues beyond a period of three months, either party may, at its option, either terminate the sale without compensation from either party, the sums paid to Syhart Decal remaining definitively acquired by it, or request, with acknowledgement of receipt, a postponement of the sale for a period equivalent to that of the case of force majeure.
